Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Acreon Labs ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Acreon Labs provides:

• Fractional CTO services and technical leadership
• MVP development and custom software solutions
• Equity-aligned development partnerships
• Technical consulting and strategy

Specific terms for each engagement will be outlined in a separate service agreement.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your project
• Respond to communications in a timely manner
• Make payments according to agreed-upon terms
• Provide necessary access and resources for project completion
• Review and provide feedback on deliverables promptly

4. Payment Terms

Payment terms, including equity arrangements, will be specified in individual service agreements. General terms include:

• Invoices are due within 30 days of receipt unless otherwise agreed
• Late payments may incur interest charges
• Equity compensation terms are negotiated on a per-project basis
• Milestone-based payments may be required for larger projects

5. Intellectual Property

Unless otherwise agreed in writing:

• Client retains ownership of all pre-existing intellectual property
• Upon full payment, client receives ownership of custom code developed specifically for their project
• Acreon Labs retains rights to general tools, frameworks, and methodologies developed during the engagement
• Open-source components remain subject to their respective licenses

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business plans, technical specifications, and any other sensitive information. Confidentiality obligations survive the termination of any agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Acreon Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amounts paid by the client in the twelve months preceding the claim.

8. Warranties and Disclaimers

While we strive for excellence in all our work, services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific business outcomes, funding success, or market performance of products we develop.

9. Termination

Either party may terminate an engagement with written notice as specified in the service agreement. Upon termination, client shall pay for all work completed up to the termination date. Certain provisions, including confidentiality and intellectual property rights, survive termination.

10. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify existing clients of material changes. Continued use of our services after changes constitutes acceptance of the modified terms.
